INTRODUCTION

These terms govern your use of the online services and products offered by VIRTEX STADIUM INNOVATIONS PRIVATE LIMITED. (henceforth Azurepays) "we" or "us" are the legal entity Azurepays, registered under the laws of India, (referred to as the "Offering" in this document and excluding any offering provided to you by Azurepays under a separate written agreement). These terms are in addition to any other terms that may be included in an agreement specific to the service you wish to use. At all times, your agreement with Azurepays will comprise the terms and conditions outlined in this document.

Azurepays serves as a conduit for other service providers rather than offering its own goods or services for sale.

ACCEPTING THE TERMS

Azurepays will communicate with clients and customers via our website's Form. When Azurepays provides you with this option in the user interface for any offering, you accept and agree to the terms by clicking a button or checkbox on the website

You must accept the terms before using the offering. If you disagree with the terms, you are not permitted to utilize the offering.

PROVISION OF THE OFFERING BY Azurepays

• The product helps you process online payments made using a variety of methods, such as credit cards, debit cards, and other card payments. It is an online and digitally enabled payment service. Azurepays does not claim to be a bank or a non-banking financial institution, nor does it make any representations about its ability to provide services related to banking or other related activities. To use the product, you must already have an account with a financial institution that is able to offer banking services.
• Azurepays offers its users software and APIs for use, and it will make an ongoing effort to innovate to give its users the best possible experience. You understand and accept that Azurepays may occasionally alter the type and structure of the offering it offers. Azurepays has the right to enforce that a user install new software, update existing software, or follow new software procedures.
• You understand and accept that, at Azurepays's sole discretion, Azurepays may cease (permanently or temporarily) to provide the offering (or any features within the offering) to you or to users in general.
• You understand and agree that you might not be able to access the offering, your account information, any files, or other content contained in your account if Azurepays disables access to your account or login process.
• You understand and agree that although Azurepays may not restrict your use of the offering in any way at this time, it may do so in the event that your use interferes with Azurepays's ability to operate or with the ability of other customers to use the offering.

Azurepays disclaims all liability for any loss or harm resulting from changes made to the offering's features, restrictions placed on using it, or complete discontinuation of it. When a merchant sells their goods and services or gets payment in connection with using the Azurepays Service, Azurepays will not be held responsible for figuring out what taxes, if any, are applicable. Assessing, collecting, reporting, or remitting the appropriate tax to the appropriate tax authority is entirely the merchant's responsibility. Azurepays disclaims all responsibility to determine whether taxes apply, or to compute, gather, report, or remit any taxes resulting from a transaction to any tax authority.

USE OF THE OFFERING BY YOU

• You might be asked for personal information during the registration process for a service or in order to continue using an offering in order to access it. You guarantee that all registration data you provide to Azurepays will always be true, accurate, and current. Your responsibility for the information and data gathered to process and authenticate a transaction is complete, and Azurepays bears no liability whatsoever.
• If officially requested or mandated by order, notification, statute, or court order, Azurepays may share customer or client information with the government or law enforcement agencies. With the customer or client's consent, Azurepays may also share information with any other party.
• You agree that, unless otherwise permitted in a separate agreement with Azurepays, you will not access (or attempt to access) the offering through any means other than through the interface that Azurepays provides.
• You guarantee that you won't take part in any actions that impede or interfere with the offering (or the offering's servers and network connectivity).
• You undertake not to reproduce, duplicate, copy, sell, trade, or resell the offering for any reason, unless otherwise expressly allowed in a separate agreement with Azurepays.
• You acknowledge that Azurepays has no liability to you or to any third party for any breach of your obligations under the Terms, and that you are solely responsible for any consequences of such a breach, including any loss or damage Azurepays may sustain.

YOUR ACCOUNT SECURITY AND PASSWORDS

You acknowledge and agree that keeping the passwords connected to any accounts you use to access the offering private is your responsibility to Azurepays and other parties. The security of any data in your possession, including that on your website, is entirely your responsibility. You pledge to abide by all laws and regulations that may be relevant to the gathering, safeguarding, and distribution of any card, transaction, financial, or personal information (collectively, "Data") on Your website. You pledge to adhere to the Payment Application Data Security Standards (PA-DSS) and the Payment Card Industry Data Security Standards (PCI-DSS) at all times, as applicable.

Except as provided by the Clauses and the remaining terms, you will be fully liable for all actions taken using your account. You must not:

• send in any credit card transaction for processing that isn't related to a product or service you sold to a customer.
• function as an aggregator or payment middleman, or in any other way resell Azurepays's services,
• send any potentially fraudulent authorizations or card transactions that you believe to be fraudulent.
• or make use of the Azurepays Service in a way that Visa, MasterCard, or any other payment provider would reasonably feel constitutes fraud or a breach of Card Network guidelines.
• you undertake to notify the relevant Azurepays official right away if you become aware of any unauthorized use of your password or account.

INTELLECTUAL PROPERTY RIGHTS

You acknowledge and agree that you are only a licensee of the offering and are not its owner, and that Azurepays(or Azurepays's licensors) owns all legal right, title, and interest in and to the offering, including any intellectual property rights which subsist in the offering (whether those rights happen to be registered or not, and wherever in the world those rights may exist). You further agree that Azurepays may designate certain material in the offering as secret, and that you will not divulge such information without Azurepays's prior written approval.

LICENSE FROM Azurepays

As part of the offering that Azurepays provides to you, Azurepays grants you a Non-Exclusive license to use the software. This license is only intended to help you utilize and benefit from the offering as made available by Azurepays in the ways that these terms enable.

You are not allowed to benefit from the offering and products or use them for commercial purposes, either directly or through sales or other commercial transfers.

The software's source code may not be copied, altered, transformed into a derivative work, reverse engineered, decompiled, or attempted to be extracted in any other way by you or anybody else.

You may not assign (or grant a sublicense of) your rights to use the service, or transfer any portion of your rights to use the service in any other way, unless Azurepays has granted you express written permission to do so.

TERMINATING YOUR ASSOCIATION WITH Azurepays

Until terminated as specified below by either you or Azurepays, the Terms shall remain in effect.

Azurepays may end your legal relationship with it at any time if:

• you have violated any of the terms (or behaved in a way that makes it abundantly evident that you are unable or unwilling to abide by the terms' provisions); or
• law requires Azurepays to comply in some situations (such as when the offering's service is or becomes illegal).
• all legal rights, obligations, and liabilities that you and Azurepays may have with regard to the confidentiality obligation or any other legal rights, obligations, or liabilities that are stated to continue indefinitely will not be affected by this termination of the agreement.

EXCLUSION OF WARRANTIES

You agree and expressly understand that the offering is provided as is and as available and that you use it at your sole risk.

Specifically, azurepays makes no representations or warranties to you regarding:

You will use the offering to meet your needs,

You will be able to utilize the offering without interruption, promptly, securely, or without any errors, including server outages.

If you use the offering, any information you obtain will be reliable or accurate, and downloading or otherwise obtaining material through the use of the offering is done at your own discretion and risk, and azurepays shall not be liable for any damage or loss of data resulting from the download of any such material to your computer system or other device.

Nothing that you obtain from azurepays or through or from the offering, whether written or oral, shall create any warranty that isn't expressly stated in the terms.

Fitness for a particular purpose, merchantability, and non-infringement are just a few of the implied warranties and conditions that azurepays expressly disclaims, among others.

LIMITATION OF LIABILITIES

You expressly understand and agree that azurepays shall not be liable to you for: subject to the overall provision in clause 11 above.

Any damages that you may incur, despite from your cause, exemplary, special, consequential, or indirect, under any theory of liability. this will encompass, but not be restricted to, any (directly or indirectly) lost profit; Any loss of goodwill or reputation of the business; any lost data; the cost of acquiring replacement goods or offerings; and any other intangible loss;

Any damage or loss that you may sustain, including but not limited to damage or loss resulting from:

Any amendments azurepays may make to the offering, or for any temporary or permanent cessation in the offering's provisions (or any features therein);

The removation, interruption, or inability to store any content and other transmitted communications data by or through your use of the offering;

Your inability to furnish azurepays with correct account details;

Your inability to maintain security and confidentiality of your password or account details;

Additional material that is cited, has links supplied, etc.

Links to content or resources on other websites may be included in the offering. It's possible that Azurepays has no control over any websites or resources that are offered by businesses or individuals other than Azurepays.

You understand and accept that Azurepays does not guarantee the availability of any such other websites or resources, nor does it support any content, advertisements, or other offerings found on or accessible through such websites or resources.

You understand and agree that Azurepays shall not be responsible for any loss or damage you may suffer as a result of those external sites or resources not being available to you, or as a result of your reliance on the existence, completeness, or accuracy of any advertisements, goods, or other materials on or accessible from such websites or resources.

CHANGES TO THE TERMS

Azurepays reserves the right to modify these terms at any moment. You will receive notification of the same via email on the Azurepays website, and you will need to respond with a confirmation within ten days. Azurepays will post the updated copy of the terms in a convenient place as soon as these modifications are completed.

You acknowledge and agree that Azurepays will consider your use of the offering to be acceptance of the updated terms if it is used after the date on which the terms have changed or after the deadline for responding under these terms has passed.
